Terms of Service for INSIGHTEACH Canvas

Welcome to INSIGHTEACH Canvas! These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications offered by Insightune Technologies Sdn. Bhd. ("we," "us," or "our"). Please read them carefully.

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy.

1. The Service

INSIGHTEACH Canvas ("the Service") is a SaaS platform that provides teachers with an AI-assisted digital whiteboard and classroom management tools. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service in accordance with these Terms.

We reserve the right to modify or discontinue the Service at any time. When possible, we will provide advance notice of any major changes.

2. Accounts

  • Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account.
  • Account security: You are responsible for safeguarding your account password and for all activities that occur under your account. Notify us immediately of any unauthorized use.
  • Account information: You agree to provide accurate, complete, and up-to-date information for your account.

3. User Content and Data

a) You own your content

You retain all ownership rights to the information, data, text, and other materials you upload or create on the Service ("Content"), including lesson plans, canvas sessions, and any student data you input.

b) Our limited license to your content

To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display your Content solely for the purpose of operating and providing the Service to you. This license ends when you delete your Content or your account.

c) Your responsibilities and our role with student data

You are solely responsible for your Content and for complying with applicable laws. As outlined in our Privacy Policy, when you add student data to the Service, you or your institution are the "Data Controller." You represent and warrant that you have obtained all necessary rights, releases, and permissions (including any required parental consent) to provide this data to us. We act as a "Data Processor" and will process this data only on your behalf to provide the Service.

4. Acceptable Use Policy

You agree not to misuse the Service or help anyone else do so. You must not (and must not attempt to):

  • Upload or share Content that is unlawful, harmful, defamatory, or infringing on intellectual property rights.
  • Violate the privacy of others, including inputting sensitive personal data about students beyond what is required for the Service's functionality (e.g., name and ID).
  • Probe, scan, or test the vulnerability of any system or network.
  • Breach or otherwise circumvent any security or authentication measures.
  • Access, tamper with, or use non-public areas of the Service.
  • Reverse engineer or decompile the Service.
  • Use the Service for any purpose other than its intended classroom use.

5. AI Assistant

Our AI Assistant helps you build your canvas. While we strive for accuracy, the AI's output is not guaranteed to be error-free. You are responsible for reviewing and validating any content or actions suggested by the AI before using them in a live classroom setting.

6. Fees and Payment

  • Subscriptions: Some features require a paid subscription. Fees are billed in advance on a recurring basis (e.g., monthly or annually).
  • Billing: You must provide accurate billing information and authorize our third-party payment processors (Stripe/Paddle) to charge your payment method. Subscriptions automatically renew at the end of each billing cycle unless cancelled in account settings.
  • No refunds: All fees are non-refundable, except where required by law.
  • Taxes: You are responsible for paying any applicable taxes.

7. Intellectual Property

The Service, including software, design, branding, and logos, is the exclusive property of Insightune Technologies Sdn. Bhd. and its licensors. These Terms grant no right, title, or interest other than the limited license to use the Service.

8. Termination

You may stop using our Service at any time and can delete your account from your account settings.

We may suspend or terminate your access to the Service, with notice, if you:

  • Breach these Terms.
  • Fail to pay subscription fees on time.
  • Use the Service in a way that causes legal liability to us or disrupts others' use of the Service.

9. Disclaimers and Limitation of Liability

Please read this section carefully as it limits our liability.

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL INSIGHTUNE TECHNOLOGIES SDN. BHD. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES (WHETHER INCURRED DIRECTLY OR INDIRECTLY), OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia, without regard to conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of Malaysia.

11. General Provisions

  • Changes to Terms: We may revise these Terms from time to time. We will notify you of any material changes by email or through the Service. By continuing to use the Service after those revisions become effective, you agree to be bound by the revised Terms.
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Insightune Technologies Sdn. Bhd.
